Terms for the use of ShopiPixel

1. Scope
These General Terms and Conditions apply to the use of the Shopify app "ShopiPixel" (hereinafter "App" or "Service"), provided by:

The App is exclusively intended for entrepreneurs within the meaning of § 14 BGB (German Civil Code). Use by consumers is excluded.
2. Subject Matter
2.1 ShopiPixel is a Shopify app for server-side tracking. The App enables the transmission of conversion events (e.g., purchases, cart actions) to various advertising platforms.
2.2 The available features depend on the selected plan (Free, Starter, Growth, Scale, Enterprise).
2.3 The App merely provides a technical infrastructure for data transmission. It does not replace legal, tax, or marketing advice.
3. Contract Formation
3.1 The contract is formed by installing the App from the Shopify App Store.
3.2 For paid plans, billing is processed through the Shopify billing interface.
3.3 Paid plans may begin with a 14-day free trial period. During the trial period, all features of the selected plan are available. If the plan is not cancelled before the trial period expires, it automatically converts to a paid subscription. Billing only begins after the trial period expires. The trial period is granted only once per shop. If the app is reinstalled after the trial period has previously been used, the free trial period no longer applies.
3.4 By installing the App, the user confirms that they are an entrepreneur and have read and accepted these Terms and Conditions. The acceptance of the Terms and the Data Processing Agreement (DPA) is logged during onboarding.
Acceptance of the Terms and DPA is verifiably logged (timestamp, document version, IP hash). These logs are retained for the duration of the business relationship plus statutory retention periods.
Processing of data subject requests pursuant to Art. 15-21 GDPR (access, erasure, rectification, restriction, data portability, objection) is handled regardless of the selected plan and at no additional cost. The CSV export of analytics data available in the app (from Starter plan) is an additional convenience feature and is not related to statutory data subject rights.

4.6 Service Limits and Overage Fees
If order limits for the respective billing period are exceeded, additional usage-based fees may apply, provided the user has enabled the overage feature in the app settings.

The maximum additional costs per month (overage cap) are technically enforced and cannot be exceeded. The total cost of a plan therefore consists of at most the monthly base fee plus the respective overage cap.
For the Free plan, data transmission is stopped when the limit is reached.
For paid plans, the overage feature can be enabled or disabled in the app settings. If overage is disabled, data transmission stops when the limit is reached.
Additional costs are billed at the end of the billing period via the Shopify billing interface.
The user can set a custom overage limit in the app settings.
Notifications are sent at 80% of the limit and when the limit is exceeded via email and in-app banner. Notifications can be disabled in the app settings.
All prices are billed in US Dollars (USD) via the Shopify Billing API. The EUR amounts shown in brackets are approximate and based on the exchange rate at the time of publication. The actual EUR amount may vary due to exchange rate fluctuations.
4.7 Additional Features
Depending on the selected plan, the following additional features are available:
- AI-powered Analytics Summaries (from Growth): Automatic preparation of dashboard metrics by AI. Only aggregated, anonymous data is processed. The AI provider (Anthropic PBC) does not use the transmitted data for model training. This feature can be disabled in the app settings.
- Email Reports (from Growth): Automatic weekly and/or monthly reports via email.
- Custom Domain / First-Party Tracking (from Growth): Configuration of a custom subdomain for first-party cookie tracking and improved data quality.
- Webhook-Only Mode (all plans): Event capture exclusively via Shopify webhooks, without using the web pixel or browser cookies.
- Dashboard KPIs (all plans): Conversion rate, cart abandonment rate, revenue per platform, new/returning customers, product conversion rate.
- Configurable Alerts (from Growth): Notifications when defined thresholds are reached, delivered via email or webhook.
- Real-Time Events (from Growth): Live view of incoming events in the dashboard.
- Customer Journey (from Growth): Analysis of conversion paths and funnel steps.
- Ad Spend Import and ROAS calculation (from Scale): Import of ad spend from up to 7 platforms.
- Custom Report Builder (from Scale): Custom reports based on aggregated statistics.
- Audience Synchronization (from Enterprise): Synchronization of hashed customer data to Meta, Google Ads, TikTok and Pinterest.
- Data-Driven Attribution (from Enterprise): Statistical channel weighting based on click ID data.
- Cohort Analysis and LTV (from Enterprise): Long-term customer value based on aggregated purchase cohorts.
- Data Warehouse Export (from Enterprise): PII-stripped export of event metadata via webhook, SFTP or download.
- Event Configuration (from Growth): Per-platform event toggles for selective deactivation of individual event types per platform.
- Custom Events (from Enterprise): Creation of custom event types for cross-platform tracking (max. 20 per shop).
- Offline Deal Tracking (Enterprise): Recording of business deals closed outside the online shop (e.g. telephone or offline sales) and transmission to the advertising platforms connected by the user for retrospective conversion attribution. Transmission uses cryptographically hashed contact data and only takes place with an active marketing consent of the end customer pursuant to § 25 TTDSG.
- Platform Event Triggers and Shopify Flow Action (Enterprise): Definition of custom triggers for platform events from storefront events, webhook mappings or a Shopify Flow action, including a platform-specific event picker.
The exact scope of features may change as the app evolves. ShopiPixel is entitled to reassign features between plans, introduce new plans, or adjust existing plan structures. Significant restrictions to existing features will be announced with a notice period of at least four (4) weeks. New features may be introduced in higher plans without creating an entitlement to availability in the current plan.
4.8 Support
All plans include email support (support@shopipixel.de). Enterprise customers receive prioritized support with preferred response times. In-app help and online documentation are available for all plans.
4.9 Price Adjustments
ShopiPixel is entitled to adjust the prices of paid plans with a notice period of at least four (4) weeks. Reasons for a price adjustment may include, but are not limited to: changed costs for server infrastructure, third-party licenses, payment processing, or statutory charges; expansion of the feature set; general market developments; or adjustment of introductory prices to the regular price. Price adjustments are announced via email and in-app notification.
The user has the right to object to the price adjustment within four (4) weeks of receiving the announcement. In the event of an objection, the user has a special right of termination effective at the time the price adjustment takes effect. If no objection is made, the price adjustment is deemed accepted.
Price adjustments only take effect from the next billing period. The current billing period remains unaffected by price adjustments.
4.10 Default Interest
In the event of default, statutory default interest pursuant to §288 para. 2 BGB (9 percentage points above the respective base interest rate) shall apply. The right to claim further damages caused by default is reserved.
4.11 Beta Features and Experimental Features
ShopiPixel may occasionally label new features as "Beta", "Preview" or "experimental". These features are provided as-is and may be changed, limited or discontinued at any time without giving rise to any claims.
For beta features, the liability limitations of the free plan pursuant to § 8.2 apply, regardless of the plan actually used. ShopiPixel recommends not using beta features for business-critical processes.
4.12 Automatic Tracking Adaptation
In Dual-Track mode, ShopiPixel monitors the functionality of the web pixel. If the web pixel does not send any events for a continuous period of at least 48 hours while webhook events are demonstrably being received, the tracking mode is automatically switched from "Dual" to "Webhook-Only" to ensure uninterrupted data capture.
The user is informed about the automatic switch via a dashboard notification and email. The email includes an explanation of the cause and instructions for resolution.
As soon as the web pixel starts sending events again, the tracking mode is automatically switched back to "Dual". The user is also informed about the restoration.
The automatic adaptation is carried out exclusively to protect data quality and contractual service delivery. The user can change the tracking mode manually in the app settings at any time. Manual settings are not overridden by the automatic adaptation — only automatically switched configurations are automatically reset.
4.13 Tester Program
ShopiPixel may grant selected users a free tester mode by invitation. There is no legal entitlement to participate in the tester program.
In tester mode, users receive access to all features and platforms at no charge. The scope of services corresponds to the Enterprise plan. There is no entitlement to specific features or availability.
The tester mode may be terminated by ShopiPixel at any time and without stating reasons with immediate effect. There are no notice periods and no entitlement to continuation of the tester mode. Testers receive no compensation; no employment relationship is established.
The liability limitations of the free plan pursuant to § 8.2 apply to the tester mode. Liability for intent, gross negligence, and injury to life, body, or health remains unaffected.
After termination of the tester mode, the shop will automatically be switched to the free Free plan. An upgrade to a paid plan is possible via the regular process in the Shopify App Store.
Testers are encouraged to provide feedback on the app. Providing feedback is voluntary. § 13 paragraph 4 applies accordingly to submitted feedback.
Data processing in tester mode is carried out in accordance with the applicable privacy policy and the data processing agreement. The tester mode does not establish any deviating data processing.
4.14 Agency/Multi-Store Usage
The following provisions govern the contractual aspects of the agency and multi-store features. They supplement the preceding provisions. The data protection aspects of the agency link are regulated in § 12 of the Data Processing Agreement (DPA); in case of doubt, the DPA prevails in matters of data protection.
4.14.1 Scope and Prerequisites
Use of the agency and multi-store features requires an active Enterprise plan held by the inviting agency owner (hereinafter "Agency Owner"). The provisions of this § 4.14 apply in addition to §§ 1 through 13 of these Terms. The managed shop is hereinafter referred to as the "Sub-Store" and its owner as the "Sub-Store Owner".
4.14.2 Link Types
- Agency-managed: The Agency Owner is an independent service provider managing the Sub-Store on behalf of the Sub-Store Owner. Agency Owner and Sub-Store Owner are legally and economically separate undertakings.
- Own Organization: Agency Owner and Sub-Store Owner belong to the same undertaking or corporate group. This link type serves the consolidated management of multiple shops of the same controller.
4.14.3 Invitation and Authorization
The Agency Owner invites the Sub-Store Owner to link via the app. The invitation is issued via a signed invitation token valid for seven (7) days from issuance.
The link is established only upon active acceptance by the Sub-Store Owner within their own app instance. No automatic linking without express confirmation takes place.
By accepting, the Sub-Store Owner grants the Agency Owner an authorization within the meaning of §§ 164, 167 of the German Civil Code (BGB) to perform the acts listed in § 4.14.4 within the app. The authorization is limited to the permissions selected by the Sub-Store Owner and may be revoked at any time (§ 4.14.7).
4.14.4 Permissions
Upon acceptance, the Sub-Store Owner selects from fifteen (15) permission categories which actions the Agency Owner may perform in their name. Permissions may be adjusted individually at any time. The exact scope of the individual categories is regulated in § 12(2) of the DPA (Delegable Permissions); the data protection classification follows from § 12 of the DPA as a whole.
4.14.5 Billing Responsibility (Owner Billing)
If activated upon acceptance of the link or later in the app settings, the Agency Owner assumes the payment obligations for the Sub-Store (Owner Billing). The Agency Owner thereby accedes to the payment debt of the Sub-Store Owner pursuant to § 421 BGB (joint debt).
Agency Owner and Sub-Store Owner are jointly and severally liable. ShopiPixel is entitled, at its free discretion, to demand the owed remuneration from either the Agency Owner or the Sub-Store Owner. Performance by one of them discharges the other to the extent of the performance rendered.
If the Sub-Store generates events exceeding the limits of the Owner's plan (overage), the additional charges are billed to the Agency Owner's plan as long as Owner Billing is active. The overage provisions in § 4.6 apply accordingly.
The Sub-Store Owner may terminate Owner Billing at any time. From the moment of termination, the Sub-Store will be billed in accordance with § 4.14.9.
4.14.6 Obligations of the Agency Owner
The Agency Owner is obligated:
- To act within the permissions granted by the Sub-Store Owner and to refrain from any acts exceeding those permissions.
- To treat access credentials, API credentials and other confidential information of the Sub-Store as confidential and to protect them against unauthorized access in accordance with the state of the art.
- Not to perform any unlawful acts in the name of or to the detriment of the Sub-Store, in particular no acts violating applicable law, the ShopiPixel Terms of Service or the terms of use of connected platforms.
- To supervise the conduct of persons deployed by the Agency Owner for management purposes (employees, freelancers, other vicarious agents) and to be responsible for their acts pursuant to § 278 BGB.
- Upon a revocation of the link by the Sub-Store Owner, to cease any further management acts for the affected Sub-Store without undue delay.
4.14.7 Revocation by the Sub-Store Owner
The Sub-Store Owner may revoke the link and the granted authorization at any time, without stating reasons, without observing any notice period and free of charge. This right of revocation corresponds to the data protection right of withdrawal under Art. 7(3) GDPR and cannot be restricted by deviating agreements.
The revocation is triggered with a single click in the Sub-Store Owner's app dashboard — as easy as granting consent (Art. 7(3) sentence 4 GDPR) — and takes effect immediately. No minimum term or notice period is established.
The revocation does not affect the lawfulness of acts performed prior to the revocation.
4.14.8 Automatic Termination
The link terminates automatically and with immediate effect (condition subsequent within the meaning of § 158(2) BGB) upon the occurrence of any of the following events. The Sub-Store Owner is informed of these termination events in advance upon conclusion of the link (§ 4.14.3):
- The Agency Owner switches to a plan below the Enterprise plan.
- The Agency Owner cancels their plan or their Shopify subscription.
- The Agency Owner uninstalls the app.
- The Shopify webhook SHOP_REDACT is triggered for the Agency Owner's shop.
- The Agency Owner is in default of payment for more than fourteen (14) days.
4.14.9 Fallback to Free Plan
If the link ends due to revocation by the Sub-Store Owner or due to any of the circumstances listed in § 4.14.8, the Sub-Store will automatically be downgraded to the free Free plan, unless it already uses its own paid plan.
Event and analytics data generated by the Sub-Store itself remain available within the retention period applicable to the Free plan pursuant to § 4.1. Older data will be deleted in accordance with the regular retention periods.
The Sub-Store Owner will be notified of the switch by email and in-app notification. The notification indicates which features will be discontinued due to the switch to the Free plan. The Sub-Store Owner may take out their own paid plan at any time.
4.14.10 Multiple Shops of the Same Owner
Each app installation on a Shopify shop establishes a separate contract between ShopiPixel and the respective shop owner. This also applies if several shops belong to the same merchant.
Consolidated management of several shops of the same owner is only possible via an agency link with the link type "Own Organization" pursuant to § 4.14.2.
Without an active agency link, credentials, configurations, event quotas and other shop-specific settings are not transferred between shops of the same owner. Each shop is billed separately.
4.14.11 Liability and Indemnification
The Agency Owner is liable for the acts and omissions of their employees, freelancers and other vicarious agents as for their own conduct (§ 278 BGB).
ShopiPixel is not liable for acts of the Agency Owner performed within the scope of the permissions granted by the Sub-Store Owner. ShopiPixel's liability for intent, gross negligence and for injury to life, body or health (§ 309 no. 7 BGB) remains unaffected. In all other respects, the liability provisions of § 8 apply accordingly.
The Agency Owner shall indemnify ShopiPixel from any and all third-party claims — in particular claims of the Sub-Store Owner, of end customers of the Sub-Store or of supervisory authorities — arising from culpable conduct of the Agency Owner or their vicarious agents within the scope of the agency link. § 9 applies accordingly.
4.14.12 Data Protection
The data protection aspects of the agency link, in particular the legal basis, data categories, recipients and data subject rights, are regulated in § 12 of the DPA. In the event of contradictions between these Terms and the DPA, the provisions of the DPA shall prevail in matters of data protection.
4.14.13 Own subscriptions during agency membership
During active agency membership, the sub-store owner cannot purchase their own paid subscription with ShopiPixel. Purchase attempts are technically blocked. The sub-store is billed exclusively through the agency owner's subscription (owner billing pursuant to § 4.14.5).
If the sub-store owner wishes to purchase their own subscription, they must first end the agency membership (§ 4.14.7).
5. User Obligations
5.1 The user is solely responsible for:
- Obtaining all required consents from end customers (in particular cookie consent, tracking consent)
- GDPR-compliant design of their online shop
- Correct configuration of tracking platforms and entry of correct API credentials
- Compliance with the terms of use of all connected platforms (Meta, Google, TikTok, etc.)
- Verification of data quality and completeness
- Backing up their own data
5.2 The user may not use the App for unlawful purposes.
5.3 The user is obligated to keep their access credentials (API keys, access tokens) confidential and to protect them from third-party access.
5.4 The user warrants that they have all necessary rights to transmit the data sent via the App to third-party platforms.
The user is specifically prohibited from:
- decompiling, disassembling or otherwise reverse engineering the service or parts thereof, unless mandatorily permitted by law
- using the service for competitive analysis, benchmarking or similar comparative purposes for the benefit of a competing product
- making automated mass requests (scraping, bots) to the API or the service that go beyond intended use
- making the service available to third parties or transferring access rights, unless expressly permitted under an Agency/Multi-Store plan
- circumventing or manipulating security mechanisms of the service
Account Security
The user is obliged to keep their access credentials confidential and protect them from third-party access. The user is liable for all activities carried out under their account, unless the unauthorized access was not attributable to the user.
In the event of suspected unauthorized access, the user is obliged to inform ShopiPixel immediately (info@shopipixel.de). ShopiPixel reserves the right to temporarily suspend the account in the event of reasonable suspicion of misuse.
6. Data Protection
6.1 The processing of personal data is carried out in accordance with our Privacy Policy.
6.2 The user remains the sole controller within the meaning of the GDPR for the data of their end customers. ShopiPixel acts exclusively as a processor.
6.3 The conclusion of a Data Processing Agreement (DPA) is required for use and is automatically concluded upon acceptance of these Terms and Conditions.
6.4 The user is responsible for ensuring the lawfulness of data transmission to the respective third-party platforms.
7. Availability and Service Level
7.1 We aim for an availability of 99.5% on an annual average (excluding scheduled maintenance).
7.2 Scheduled maintenance will be announced at least 48 hours in advance whenever possible.
7.3 No availability guarantee: The stated availability represents a target value, not a guaranteed service. Brief outages do not give rise to claims for damages.
7.4 In the event of outages caused by third-party providers (Shopify, Meta, Google, TikTok, etc.), there is no entitlement to availability.

8. Liability and Disclaimers
8.1 Limitation of Liability
We are only liable:
a) Without limitation in cases of intent, gross negligence, and injury to life, body, or health.
b) In cases of slight negligence, only for breach of material contractual obligations (cardinal obligations), limited to the foreseeable, contract-typical damage. Material contractual obligations are those whose fulfillment is essential for the proper performance of the contract and on whose compliance the user may regularly rely. This includes in particular the obligation to reliably capture and forward tracking events, the availability of the service, and the security of stored access credentials.
8.2 Maximum Liability
Liability is in any case limited to:
- For free plans and beta features: limited to the foreseeable contract-typical damage, up to a maximum of $100 (without prejudice to unlimited liability under § 8.1 a))
- For paid plans: The amount paid in the last 12 months, but no more than $3,600 (approx. €3,456) (without prejudice to the unlimited liability pursuant to § 8.1 a))
8.3 Excluded Damages
We are expressly NOT liable for:
a) Lost profits, lost revenues, or economic disadvantages of any kind, in particular not for:
- Underperforming advertising campaigns
- Missing or incorrectly transmitted tracking data
- Inaccurate attribution or conversion assignment
- Loss of advertising budget optimization opportunities
b) Actions and decisions of third-party platforms, in particular:
- Suspension, restriction, or termination of advertising accounts on Meta, Google, TikTok, or other platforms
- Changes to APIs, policies, or algorithms of third-party platforms
- Rejection of data by third-party platforms
- Errors or outages at third-party platforms
c) Data losses, insofar as the user has not regularly backed up the data or the loss was not caused by us through gross negligence or intent.
d) Indirect damages, consequential damages, and financial losses, including:
- Business interruptions
- Loss of business opportunities
- Reputational damage
- Damages from lost contracts
e) Damages due to incorrect configuration of the App or connected platforms by the user.
f) Damages due to changes to third-party interfaces (APIs) that occur without prior notice.
8.4 No Performance Guarantee
ShopiPixel makes no guarantees or assurances regarding:
- Improvement of conversion rates or ROAS
- Completeness or accuracy of data transmission
- Acceptance of transmitted data by third-party platforms
- Consistency of tracking data with other measurement systems
- Fitness for a particular purpose
8.5 Technical Limitations
The user acknowledges that:
- Server-side tracking has inherent technical limitations
- Not all events can be captured (e.g., checkout abandonment)
- Browser identifiers (cookies) are not always available
- Data quality depends on correct shop configuration
- Platform APIs may change at any time
8.6 Liability for Data Loss
Liability for data loss is limited to the typical recovery effort that would have been incurred with proper data backup by the user.
9. Indemnification
9.1 The user indemnifies us against any third-party claims arising from the user's culpable breach of these Terms, applicable law, or the terms of use of connected platforms, in particular:
- Claims from end customers due to privacy violations
- Claims from advertising platforms due to violations of their terms of use
- Claims due to competition law violations
- Claims from authorities due to unlawful data processing
9.2 The indemnification also covers reasonable costs of legal defense.
9.3 The user is obligated to inform us immediately of any claims asserted and to assist in the defense.
10. Force Majeure
10.1 In the event of force majeure, we are released from our service obligations for as long as and to the extent that such events persist.
10.2 Force majeure includes in particular:
- Natural disasters, pandemics, epidemics
- War, terrorist acts, cyberattacks
- Strikes, lockouts
- Government measures
- Failure of telecommunications networks or power supply
- Failure or restrictions at Shopify or other third-party providers
11. Term and Termination
11.1 The free plan can be terminated at any time without notice.
11.2 Paid plans have a minimum term of one billing period (30 days from activation) and are automatically renewed for one additional billing period each. Termination is possible at any time effective at the end of the current billing period.
11.3 Termination is effected by uninstalling the App in the Shopify Admin or in writing by email (info@shopipixel.de).
11.4 Upon termination of the user relationship by uninstalling the app, platform credentials are immediately invalidated for security reasons (no further data is sent to advertising platforms) — for OAuth platforms (currently Google Ads) the refresh token is additionally revoked at the provider. Tracking data and configurations are finally deleted no later than 30 days after uninstallation (see retention table in the Privacy Policy for details on the deletion timeline and reinstall window). On reinstall within the reinstall window, the plan is reset to the free FREE tier for security reasons; platform connections must be re-authorised.
11.4a The user has the right to request an export of their data in a common machine-readable format prior to uninstallation.
11.4b Billing data is managed by Shopify as billing agent and subject to their retention policies. Internal usage statistics are deleted along with all other shop data. Audit logs will be stored for the duration of the statutory limitation period.
11.5 Extraordinary termination: We are entitled to terminate the contract without notice if the user:
- Violates these Terms and Conditions
- Uses the App for unlawful purposes
- Violates the terms of use of Shopify or connected platforms
- Has provided false information
11.6 Switching between paid plans (upgrade/downgrade) is possible at any time. Upgrades take effect immediately; the price difference is prorated. Downgrades take effect at the end of the current billing period. The current plan remains active until the end of the billing cycle. A scheduled downgrade can be cancelled at any time before it takes effect.
12. Amendments
12.1 We are entitled to amend these Terms and Conditions with a notice period of at least 4 weeks, insofar as this is required for a legitimate reason (e.g. adaptation to changed legal requirements, new technical requirements of platform APIs, introduction of new features or plans, closing of regulatory gaps). The amendment must not materially shift the equivalence between performance and consideration.
12.2 Amendments will be communicated to the user by email to the email address registered with Shopify and additionally by in-app notification. The notification will contain the amended provisions in full, a summary of the material changes, and the effective date.
12.3 The user may object to the changes within 4 weeks of receiving the change notification. If the user does not object in due time, the amended Terms shall be deemed accepted. Changes that substantially shift the contractual equivalence to the detriment of the user require the user's express consent.
12.4 In the event of a timely objection, both parties have an extraordinary right of termination at the time the planned amendments are due to take effect. Until the termination takes effect, the previous Terms and Conditions continue to apply unchanged. We will inform users of their right to object, the objection period, and the consequences of failure to object with every amendment notification.
13. Intellectual Property
13.1 All rights to the App, including software, documentation, trademarks, and logos, remain with us.
13.2 The user receives a simple, non-transferable right of use for the duration of the contract.
13.3 Reverse engineering, decompilation, or other attempts to determine the source code are prohibited, except where mandatorily permitted by law.
13.4 To the extent the user submits improvement suggestions, feature requests or other feedback, the user grants ShopiPixel a free, unlimited right to use this feedback for the further development of the service. There is no entitlement to implementation.
14. Final Provisions
14.1 The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).
14.2 The place of jurisdiction for all disputes is Göppingen, provided the user is a merchant, a legal entity under public law, or a special fund under public law.
14.3 Should individual provisions of these Terms be or become invalid, the validity of the remaining provisions shall remain unaffected. The invalid provision shall be replaced by the applicable statutory provisions.
14.4 No oral side agreements exist. Amendments and additions require text form.
14.5 The assignment of rights under this contract by the user requires our prior written consent.
